Agreement to Terms

Welcome to LexaroX. These Terms of Service ("Terms") constitute a legally binding agreement between you and LexaroX ("we", "us", or "our") governing your access to and use of our personal finance management application, website, and related services (collectively, the "Services").

Eligibility and Account Registration

Age Requirement

You must be at least 18 years old to use LexaroX. By using our Services, you represent and warrant that you are 18 years of age or older.

Account Creation

To use LexaroX, you must create an account by providing:

• Accurate, current, and complete information
• A valid email address
• A secure password or authentication through Google/Apple Sign-In

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Taking reasonable steps to prevent unauthorized access

We strongly recommend enabling two-factor authentication (2FA) for enhanced security.

Use of Services

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use LexaroX for personal, non-commercial purposes.

Acceptable Use

You agree to use LexaroX only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any illegal or fraudulent activities
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated systems (bots, scrapers) to access the Services
• Upload malicious code, viruses, or harmful content
• Impersonate others or provide false information
• Harass, abuse, or harm other users
• Use the Services to compete with us or create a similar product

Subscription and Payment

Free and Paid Plans

LexaroX offers both free and paid subscription plans:

• Free Plan: Access to basic features with limitations
• Pro Plan: Advanced features including AI insights, unlimited transactions, and priority support
• Enterprise Plan: Custom solutions for teams and organizations

Billing

• Paid subscriptions are billed monthly or annually, as selected
• Charges are non-refundable except as required by law
• Subscriptions automatically renew unless cancelled before the renewal date
• We reserve the right to change pricing with 30 days' notice
• You authorize us to charge your payment method for all fees

Free Trial

We may offer free trials for paid plans. At the end of the trial, you will be charged unless you cancel. Trial eligibility is determined at our sole discretion and is typically limited to one trial per user.

Cancellation and Refunds

• You may cancel your subscription at any time through account settings
• Cancellation takes effect at the end of your current billing period
• No refunds for partial months or unused services
• After cancellation, you'll have 30 days to export your data before deletion

Your Content and Data

Ownership

You retain all rights to the financial data, information, and content you upload to LexaroX ("Your Content"). We do not claim ownership of Your Content.

License to Us

By using LexaroX, you grant us a limited license to:

• Store and process Your Content to provide the Services
• Use Your Content to generate AI insights and recommendations
• Create anonymized, aggregated data for analytics and service improvement
• Backup Your Content for disaster recovery and service reliability

This license terminates when you delete Your Content or close your account, except for data retained in backups (deleted within 90 days).

Responsibility for Your Content

You are solely responsible for:

• The accuracy and legality of Your Content
• Maintaining backups of Your Content
• Any consequences of sharing Your Content with others

Data Accuracy

While we strive to maintain data integrity, you acknowledge that:

• LexaroX is a tool for tracking and organizing financial data
• We do not verify the accuracy of data you enter
• You should maintain independent records for important financial information
• AI insights are suggestions, not professional financial advice

Intellectual Property

Our Rights

LexaroX and all related content, features, and functionality are owned by us and protected by intellectual property laws. This includes:

• Software code and architecture
• Design, graphics, and user interface
• Logos, trademarks, and branding
• Documentation and content
• AI models and algorithms

Restrictions

You may not:

• Copy, modify, or create derivative works of LexaroX
• Remove or alter any copyright, trademark, or proprietary notices
• Use our trademarks without written permission
• Frame or mirror any part of the Services

Shared Wallets and Collaboration

Shared Wallet Features

LexaroX allows you to create shared wallets with other users. When using this feature:

• You are responsible for managing access and permissions
• All participants can view and modify shared wallet data (based on permissions)
• You should only invite trusted individuals
• We are not responsible for disputes between shared wallet members
• You can remove members or leave shared wallets at any time

Data Visibility

Information shared in collaborative features is visible to all participants. Be mindful of what you share and with whom.

AI-Powered Features

LexaroX uses artificial intelligence to provide insights and recommendations. You acknowledge that:

• AI insights are based on patterns in your financial data
• Recommendations are suggestions, not professional financial advice
• AI may not be 100% accurate and should not be solely relied upon
• You should consult qualified professionals for important financial decisions
• We do not guarantee specific results from following AI recommendations

Disclaimers and Limitations

Service "As Is"

LexaroX is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy, reliability, or completeness of information
• Security or freedom from viruses or harmful components

No Guarantee

We do not guarantee that:

• The Services will meet your specific requirements
• The Services will be available at all times
• All errors will be corrected
• The Services will be compatible with all devices or software

Limitation of Liability

To the maximum extent permitted by law, LexaroX and its affiliates shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your use or inability to use the Services
• Damages from unauthorized access to your data
• Damages from third-party content or conduct

Our total liability to you shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100, whichever is greater.

Exclusions

Some jurisdictions do not allow certain limitations. In such cases, these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless LexaroX and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or data you submit
• Any disputes with other users

Termination

By You

You may terminate your account at any time through account settings or by contacting support.

By Us

We reserve the right to suspend or terminate your account:

• For violation of these Terms
• For fraudulent, abusive, or illegal activity
• For extended periods of inactivity (with prior notice)
• If required by law or legal authority
• At our discretion with or without cause (with 30 days' notice)

Effect of Termination

Upon termination:

• Your right to use LexaroX immediately ceases
• You have 30 days to export your data
• Your data will be deleted after the 30-day period
• No refunds will be provided for unused subscription time
• Provisions that should survive termination (indemnification, disclaimers, limitations) remain in effect

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at legal@lexarox.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

Class Action Waiver

You agree that disputes must be brought on an individual basis only, and not as a class action, collective action, or representative action. Class arbitrations, class actions, and consolidation with other arbitrations are not permitted.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

General Provisions

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending an email notification (for significant changes)

Your continued use after changes take effect constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign our rights and obligations without restriction.

Entire Agreement

These Terms, along with our Privacy Policy and any other legal notices, constitute the entire agreement between you and LexaroX regarding the Services.

Third-Party Services

LexaroX may integrate with third-party services (Google, Apple, etc.). Your use of such services is subject to their respective terms and conditions.
